1. Introduction

Welcome to SturdyBay Digital Commerce. These Terms & Conditions govern your use of our website, mobile applications, and all related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform. We recommend that you read these Terms carefully before placing any order or creating an account.

In these Terms, the following words have the meanings set out below:

• “SturdyBay”, “we”, “us” or “our” means the SturdyBay group entity operating this Platform.
• “User”, “you” or “your” means any person who accesses or uses the Platform, whether as a guest or a registered account holder.
• “Seller” means a third-party merchant or vendor that offers products or services for sale through the SturdyBay marketplace.
• “Order” means a request by you to purchase a product or service from a Seller via the Platform.
• “Content” means all information, text, images, graphics, videos, and other materials published on the Platform.

3. Account Registration

To access certain features of the Platform, you may need to register for a SturdyBay account. You agree to:

• provide accurate, current and complete information during registration;
• maintain and promptly update your account information to keep it accurate;
• keep your password secure and confidential;
• notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if we suspect any breach of these Terms.

4. Orders and Pricing

A. All Orders placed through the Platform are offers to purchase the products or services listed. We reserve the right to refuse or cancel any Order for reasons including, but not limited to, product availability, errors in pricing or product descriptions, or suspicion of fraudulent activity.

B. Prices for products are displayed in the local currency and are subject to change without notice. In the event of a pricing error, we will contact you to confirm the correct price or cancel the Order.

C. Once an Order is confirmed, you will receive an order confirmation via email. This confirmation does not guarantee acceptance of your Order; it is merely an acknowledgement of receipt.

5. Shipping and Delivery

• A. We will arrange for delivery of the products to the address you provide during checkout. Delivery times are estimates and are not guaranteed.
• B. Risk of loss and title for products pass to you upon delivery to the carrier. For digital products, delivery is deemed complete when the product is made available for download or access.
• C. If a delivery is delayed or lost, we will work with our logistics partners to resolve the issue. However, we are not liable for any losses arising from delivery delays beyond our reasonable control.

6. Returns, Refunds and Exchanges

A. We want you to be satisfied with your purchase. If you are not entirely happy, you may return eligible products in accordance with our Return Policy.

B. To initiate a return, you must contact our support team within the return window and follow the provided instructions. Products must be returned in their original condition, unused, and with all packaging and tags intact.

C. Refunds will be processed using the same payment method used for the original transaction. Please allow up to 14 business days for the refund to appear in your account.

D. Certain products (e.g., perishable goods, personalised items, and digital downloads) are non-returnable unless faulty.

7. Intellectual Property

All Content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, and software, is the property of SturdyBay or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Content without our prior written consent.

8. User Conduct and Prohibited Activities

You agree not to use the Platform to:

• violate any applicable law or regulation;
• infringe the rights of any third party, including intellectual property, privacy, or contractual rights;
• transmit any viruses, malware, or other harmful code;
• engage in any activity that interferes with or disrupts the Platform or its servers;
• impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
• collect or harvest information about other Users without their consent.

9. Disclaimer of Warranties

THE PLATFORM AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, STURDYBAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STURDYBAY, ITS DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OR INABILITY TO USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (IV) ANY OTHER MATTER RELATING TO THE PLATFORM.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the SturdyBay subsidiary operating this Platform is established, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration or in the competent courts of that jurisdiction, as determined by SturdyBay in its sole discretion.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time without prior notice. The most current version will be posted on this page, and the date of the latest revision will be indicated at the top of the page. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
